These Terms and Conditions ("Terms") govern your use of the Toad Health patient communications platform and related services (the "Service") provided by Toad Health LLC ("Company", "We", "Us", or "Our"). The Service facilitates communication between patients and primary care practices—including the submission of medical inquiries through web forms and the optional receipt of SMS notifications containing secure message links. By using our Service, you agree to these Terms. If you do not agree, please do not use our Service.
By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you disagree with any part of these Terms, then you may not access or use the Service.
For the purposes of these Terms:
Patients can use the Service to submit medical inquiries via our web form and, if they choose, to receive SMS notifications with secure links to view responses. No account registration is required for patients.
Clinic staff have access to the Service through a secured dashboard by means of a dedicated account (Clinic Staff Account). These accounts are provided and managed by the clinic.
Regardless of whether you are a patient or a clinic staff member, you agree to provide accurate and current information when using our Service. Clinic staff are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their accounts. Users agree to notify us immediately of any unauthorized use or security breach.
Our Service is designed to facilitate communication between patients and primary care practices. When a patient opts in to receive SMS notifications:
All intellectual property rights in and to the Service, including but not limited to software, design, text, graphics, logos, and trademarks, are owned by the Company or its licensors. You are granted no rights in any of the foregoing except as expressly set out in these Terms.
The Service is provided on an "as is" and "as available" basis without any warranties, express or implied. The Company does not guarantee that the Service will be uninterrupted, error-free, or secure, and disclaims any warranties regarding the accuracy or reliability of any information provided through the Service.
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Service. In no event shall the Company's total liability exceed any fees paid by you, if applicable, for accessing the Service.
The Company reserves the right to suspend or terminate access to the Service at any time, without notice, for conduct that violates these Terms or is otherwise harmful to the Service or its users. Clinic staff accounts may be terminated or suspended as needed in accordance with internal policies.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. By using the Service, you agree to submit to the exclusive jurisdiction of the courts located in Florida.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a material change is made, we will provide notice via email or a prominent notice on our Service before the change becomes effective. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
